Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the StudyPrime website and application (collectively, the “Service”) operated by StudyPrime (“we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

If you are under 18 years of age, your use of the Service must be authorized by a parent, guardian, or educational institution. If you are accessing the Service on behalf of a school or organization, you represent that you have authority to bind that organization to these Terms.

StudyPrime is an AI-powered educational platform that enables students and educators to:

• Upload documents (PDF, Word, Excel, and other formats) and receive AI-generated study notes, summaries, flashcards, and quizzes
• Engage in AI-assisted chat conversations for tutoring and academic assistance
• Record or upload lecture audio for AI transcription and study pack generation
• Discover and learn from YouTube educational videos
• Listen to AI-generated podcast-style summaries of uploaded material
• Rewrite and improve written content using AI tools

The Service is intended exclusively for educational purposes. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3.1 Account Creation

You may register using Google OAuth or by creating an account with an email address and password. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@studyprime.ai if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

3.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent usage limits, access controls, or suspensions is prohibited.

You agree to use StudyPrime only for lawful educational purposes and in compliance with these Terms. The following uses are strictly prohibited:

• Academic dishonesty — submitting AI-generated content as your own work without disclosure, or using the Service to cheat, plagiarize, or otherwise violate your school's academic integrity policy. StudyPrime is designed to help you learn, not to do your work for you.
• Active assessments — uploading or using questions from active, ongoing examinations, tests, or quizzes that you are currently required to complete independently.
• Illegal content — uploading, sharing, or generating content that is illegal, defamatory, obscene, harassing, or that infringes the intellectual property rights of others.
• Privacy violations — uploading content that contains personally identifiable information about other individuals without their consent.
• System abuse — attempting to reverse-engineer, scrape, stress-test, or circumvent any security measure of the Service; using automated tools (bots, scripts) to access the Service at scale without authorization.
• Impersonation — impersonating any person, teacher, administrator, or organization.
• Account sharing — sharing your login credentials with others or using someone else's account.

We reserve the right to investigate violations and to suspend or permanently terminate any account that we determine, in our sole discretion, has violated these Terms.

5.1 Your Content

You retain full ownership of any content you upload to StudyPrime (“Your Content”), including documents, messages, audio recordings, and any other materials. By uploading content, you grant StudyPrime a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit Your Content solely for the purpose of providing the Service to you. This license terminates when you delete the content or close your account.

5.2 Your Responsibility for Uploaded Content

You represent and warrant that: (a) you own or have the right to upload Your Content; (b) Your Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party; and (c) Your Content complies with these Terms and all applicable laws.

5.3 StudyPrime Content

The Service, including its design, software, text, graphics, and AI-generated outputs delivered through the platform interface, are owned by StudyPrime or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from StudyPrime's proprietary content without express written permission.

StudyPrime uses large language models (including OpenAI's models) to generate study materials, answers, summaries, and other educational content. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, hallucinations, or outdated information.
• AI outputs should be verified against authoritative academic sources before being relied upon.
• StudyPrime is a study aid and supplement — it is not a substitute for attending class, reading assigned materials, or your teacher's instruction.
• We make no warranties regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

7.1 Free and Paid Plans

StudyPrime offers a free tier with limited features and paid subscription plans (Pro and Ultimate) with expanded capabilities. Plan features and pricing are described on our Pricing page and may change with notice.

7.2 Billing

Paid subscriptions are billed on a monthly or annual basis, as selected at checkout. All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Prices are in USD and exclude applicable taxes.

7.3 Cancellation

You may cancel your subscription at any time from Settings → Subscription. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date. We do not provide prorated refunds for partial billing periods, except where required by applicable law.

7.4 Refunds

Refund requests within 7 days of initial purchase may be considered on a case-by-case basis. Contact support@studyprime.ai to request a refund.

7.5 Price Changes

We may change subscription prices with at least 30 days' advance notice by email. Continued use of the Service after a price change constitutes acceptance of the new price.

Teachers and school administrators who use StudyPrime may have access to a dashboard that displays messages flagged by the AI as potential academic integrity concerns submitted by students within their institution. Teachers do not have access to students' full conversation histories — only flagged messages.

If you are a teacher or administrator, you agree to use student information accessible through the platform solely for legitimate educational and supervisory purposes, in compliance with FERPA and your institution's policies.

9.1 Termination by You

You may delete your account at any time by going to Settings → Danger Zone → Delete Account. Deletion is permanent and irreversible. All your data will be removed as described in our Privacy Policy.

9.2 Termination by Us

We may suspend or terminate your account immediately, with or without notice, if you violate these Terms, engage in fraudulent or illegal activity, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.

9.3 Effect of Termination

Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and governing law) will survive.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STUDYPRIME AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, revenue, profits, or goodwill
• Academic consequences resulting from reliance on AI-generated content
• Unauthorized access to or alteration of your data
• Any other damages arising from your use of or inability to use the Service

IN NO EVENT SHALL STUDYPRIME'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STUDYPRIME IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow limitations on liability for certain damages, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless StudyPrime and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with proceedings conducted in Prince William County, Virginia.

You waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, for significant changes, by sending an email to your registered address or displaying an in-app notice. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes.

Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and StudyPrime regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
